At InsurFact Connect Inc., (hereinafter "InsurFact" ), we are committed to protecting the privacy of our subscribers, employees and household/policy information, and to ensuring the protection and the confidentiality of the personal information provided to us in the course of our business and data management. Our Privacy Policy not only meets the requirements of the Act respecting the protection of personal information in the private sector¹ and the Personal Information Protection and Electronic Documents Act² , but also describes our standards for collecting, handling, using, disclosing, retaining and destroying your personal information. This Policy also explains how we safeguard your personal information and how you can exercise your rights to access and correct that information. This document is updated at any time and on an ongoing basis to ensure that you are aware of changes to our privacy practices, and to comply with applicable legislation. We suggest you review this policy regularly for updates on how we handle your personal information. By providing us with personal information (via our website at www.insurfact.com,or cfiles.insurfact.com by email or data entry on our software), you agree that this personal information will be handled in accordance with this policy, and you authorize InsurFact and its agents, suppliers or business partners to handle your personal information for the purposes set out below.

This Policy was developed to comply with the requirements of the privacy protection legislation in force.

Collection of personal

Here are some examples of personal information that we may collect in the course of our service delivery and activities:

· Name, address, email and phone number;

· Age, gender, marital status, family status;

· Identification numbers such as your driver's licence number or social insurance number;

· Your insurance coverage, transaction and service usage history;

· Financial information, such as your place of employment, sources of income, credit history, assets and liabilities;

· Medical information, if required for policy management purposes;

· Interactions: when you contact us by email, by chat, by submitting a question or comment, by booking an appointment or submitting request for a quote, when you subscribe to our newsletter or visit our CFiles or Message Center (if applicable), or if you send us your resume when you apply for a position with us (if applicable), we save your interaction and any attached file;

· Use of our website: when you navigate on our website, we may collect certain personal information through the use of cookies on your browser, notably your IP address, the date and time of your visit as well as a record of the pages you consulted.

Methods Used to Collect Your Personal Information

We collect your personal information in several ways: -

· Through your financial security advisor who collects it on our behalf;

· Directly, in the course of delivering the products or services we provide to you; -

· Through forms on our website (cfiles.insurfact.com):

· Through requests that you submit (claims and benefits) on your insurance;

· Through statements (administrative forms);

· Through applications for insurance products (questionnaires).

Use of personal information

Personal information that we collect is only used for the purposes indicated at the time of its collection, that is when you navigate or disclose your information on our website. We use your personal information primarily to:

· To communicate with you and keep you informed: to send reminder messages, to answer your questions, request for information or comment, to answer your request for a quote, to send you our newsletter if you agreed to receive it, etc.;

· Any other use that is permitted or required by applicable laws.

Information About Your Dependents

Financial security advisors may also collect information about your spouse, children or other dependents if you chose a group insurance plan, or a product or service that makes it necessary to collect their personal information. For example, when they have rights or are covered under an insurance or annuity plan, or when they are designated as beneficiaries. Concerning your minor children, we will comply with applicable laws by obtaining their personal information from you or their custodial parent. We will obtain the consent of your dependents when required by applicable laws.

Consent, Limits to Collection, Use and Disclosure

InsurFact will not communicate personal information for purposes other than for those for which it was collected, unless you give your consent, or it is required or permitted to do so by applicable law. We may engage third parties to process personal information for the purposes described above. In such situations, a contractual agreement containing appropriate provisions regarding the protection of personal information is entered into between InsurFact and the third parties.

Security

InsurFact is committed to maintaining the confidentiality of personal information. To do so, we have implemented physical, organizational, contractual and technological security measures, which are generally applied and recognized for this purpose. All consultants and third party service providers who process your personal information, if applicable, must also comply with these security measures.

Responsibility

We will only keep your personal information for as long as we reasonably need it for the purpose it was collected or to comply with the law. InsurFact is in no way responsible for the accuracy of the information that you provide on our website. Subject to applicable law, you may review the personal information held by us and request that appropriate corrections be made.

Any access or rectification request must made in writing by a person who proves that he is the person concerned by the personal information and will be processed within thirty (30) days of its receipt. If we are unable to respond within this time, you will be notified.

INSURFACT CONNECT INC. STANDARD TERMS AND CONDITIONS

InsurFact Connect, Inc. ("lnsurFact"), grants to you a non-transferable and non-exclusive license to use its software products. The use of such InsurFact software shall be governed by the following terms and conditions.

1. License
Upon acceptance of this order by InsurFact at its home office, InsurFact also grants to you during the terms of this agreement 1) a right of access to its data and services through a personal computer or other devices connected to the Internet and 2) use of the InsurFact business management services as more particularly described in the documentation, price schedules, manuals and materials prepared or compiled by InsurFact and furnished to you in connection with your purchase order and 3) other professional services including, but not limited to special studies, systems analysis and design, programming and program development, system conversion, implementation planning and evaluation, documentation and training as requested by you.  InsurFact reserves the right to add or withdraw data or services and modify or otherwise change the services without notice.

2.  Terms of License
This agreement is effective from the date of acceptance by InsurFact and shall continue in full force and effect for a period of 12 months, thereafter, until terminated by either party upon at least thirty (30) days prior written notice to the other party.

3. Confidential Use; Proprietary Nature of Data
You acknowledge that InsurFact software is copyrighted and constitutes the valuable proprietary information and trade secrets of InsurFact and Information Providers and that the unauthorized dissemination or use of InsurFact Software could cause irreparable harm to InsurFact and/or Providers. You agree to take all reasonable precautions to maintain the strict confidence of InsurFact Software and to prevent any unauthorized use of the Software and its services.

You further acknowledge InsurFact's proprietary and copyright interests in the contents of InsurFact databases, which are made available solely for your use in your business.  Data provided may be used in presentations or reports to clients. Under no circumstances, however, will you transfer, sell, or lend access to InsurFact databases, nor sell or commercially exploit any information from the InsurFact databases.

4. Charge for Services
You agree to pay InsurFact for the license and services provided hereunder in accordance with the established current Price Schedule. All charges are subject to change upon thirty (30) days notice. Charges for professional services will be determined on an individual basis as agreed to by the parties.

InsurFact will assign to you an InsurFact identification code to insure that access to the InsurFact databases and business management services is limited to use by you and your authorized additional users under your account. You shall take necessary steps to protect the use of your InsurFact ID.   You shall be liable for all charges incurred under your account number.

Each month, InsurFact will send you an invoice setting forth charges incurred during the prior period. All invoices are payable upon notice. In the event of non-payment, database access may be halted with or without notice.

5. Equipment
You are solely responsible for acquiring and maintaining all personal computer or devices and communication equipment required to gain access to the database and its services.

6. Limitation of Liability
While the information, data and/or records included in the databases have been obtained from reliable 3rd party sources, no warranties or responsibility is assumed or implied for loss or damage resulting from any inaccuracies contained therein.

InsurFact will not be responsible for any delay, failure in performance or interruption of service resulting from a cause within InsurFact's control, InsurFact's sole liability will be the correction of the malfunction within a reasonable time period.

You further assume sole responsibility for the use of the service and agree to indemnify and hold InsurFact harmless from any liability or claim of any person arising from your use of the service.
